Terms of Service

These terms govern your use of Oppye. The short version: pay your subscription on time, follow our Acceptable Use Policy, and we both keep things simple. The long version follows.
About these terms
These terms are the agreement between you ("you", "the user") and BEJAN DAVID PERSOANĂ FIZICĂ AUTORIZATĂ ("Oppye", "we", "us"), the operator of the Oppye service. By creating an account, signing in, or paying for a subscription, you accept this agreement and our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the service. The service
Oppye is a creative-production tool that generates advertising banner images from text prompts, edits existing banners conversationally, and re-composes user-supplied artwork for different platform sizes. Outputs are produced by third-party AI models. The service is offered "as is": we do not promise that a given prompt produces a given output, that any output will pass a platform's advertising policies, or that the service will be available without interruption.
AI-generated content
Oppye creates images using artificial intelligence. AI outputs can contain errors, unintended text, or artefacts, and you are responsible for reviewing every output before you use it — including checking that it does not infringe anyone's rights and complies with the advertising rules of the platform you run it on.
Account responsibilities
You are responsible for keeping your credentials (or the Google account you sign in with) secure, for everything that happens under your account, and for the accuracy of the information you give us. If you believe your account has been compromised, secure it and email support@oppye.com.
Subscription plans and credits
Oppye uses a credit-based model: 1 credit = 1 standard output (a generation, a conversational edit, or one resized size). High-quality output (on the Pro and Agency plans) uses 4 credits per item. The Free plan grants 10 credits at signup; paid plans (Starter, Pro, Agency) grant the credit amounts published on the pricing page on a recurring 30-day cycle.
Plan credits do not roll over: at each renewal your monthly balance is reset to your plan's allowance, and any unused monthly credits are forfeited. Separately purchased top-up credits do not expire — they sit in a distinct balance, are spent only after your monthly credits are used up, and survive renewal and cancellation until you use them. We reserve credits before each model call and automatically refund them if the call fails. The credit ledger in your dashboard is the authoritative record of every change to your balance. Credits have no cash value and are not exchangeable for money except where a refund is granted under our Refund Policy.
Billing, renewals, and cancellation
Paid subscriptions are billed monthly or annually in advance through Stripe. Your subscription renews automatically at the end of each billing period at the then-current price for your plan, unless you cancel beforehand. You can cancel at any time from the billing settings, which open the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period: you keep your paid-tier access and credits until that date, then move to the Free plan.
Your right of withdrawal (EU consumers)
If you are a consumer in the EU, you normally have 14 days to withdraw from a distance contract without giving a reason. Because Oppye is a digital service supplied immediately, at checkout we ask you to expressly request that we begin providing the service right away and to acknowledge that you thereby lose your 14-day right of withdrawal once provision begins. If you give that consent, you cannot rely on the statutory 14-day withdrawal once you have started using the service.
Independently of that statutory right, we offer a voluntary money-back window — see the Refund Policy. If you contract with us as a business (B2B), the consumer right of withdrawal does not apply.
Refunds
We offer a voluntary 14-day money-back window on your first subscription payment, subject to the conditions in our Refund Policy (broadly: only if you have consumed no more than 10 credits, only in the first billing period, once per account). We also always correct genuine billing errors — duplicate charges, charges after a recorded cancellation, or charges for an essential outage. Ownership of generated content
You own the creative outputs you generate with Oppye, to the maximum extent the underlying model providers (OpenAI, Google, Anthropic) permit. You can use them commercially, modify them, and distribute them. You keep all rights to the inputs you provide — your prompts, uploaded logos, and reference images — and you grant us only the limited licence we need to operate the service (store them, send them to the model providers, render results back to you). We claim no ownership of your inputs or outputs.
Note that, under current law in many countries, purely AI-generated material may attract limited or no copyright protection. This affects all users of generative tools, not Oppye specifically.
How your inputs are processed
To produce outputs we send your inputs to third-party AI providers (OpenAI, Anthropic, Google) and store them with our infrastructure providers (Supabase, Stripe, Vercel, Upstash). Some of these providers process data in the United States; such transfers rely on Standard Contractual Clauses and/or the EU-US Data Privacy Framework. Under these providers' API terms, your inputs and outputs are not used to train their models. The Privacy Policy explains this in detail.
Your responsibilities for inputs
You are responsible for the legality of every input you provide — that you own the rights to any image you upload, that you have permission to use any logo or trademark you submit, and that your prompts do not violate our Acceptable Use Policy. If a third party complains that your input infringes their rights, we may remove the content and the resulting outputs without notice; persistent or severe violations terminate your account.
Acceptable use
You must comply with our Acceptable Use Policy at all times. It is incorporated into these terms by reference and lists the categories of content that are off-limits. A violation is a material breach of this agreement and can result in immediate suspension or termination of your account without refund.
Availability and changes
We make reasonable efforts to keep the service running but offer no specific uptime guarantee. We may change or retire features, change pricing (with at least 30 days' notice for changes affecting existing subscribers), and route generation calls to different underlying model providers as needed. None of these changes gives rise to a refund unless it makes the service materially unusable for an extended period.
Termination
You can close your account at any time from Settings. We can terminate or suspend your account if you breach these terms or the Acceptable Use Policy, fail to pay, attempt to defraud us, or use the service in a way that exposes us to legal risk. On termination, your data is deleted as described in the Privacy Policy; we retain billing records for 5 years as tax law requires.
Limitation of liability
To the maximum extent permitted by law, Oppye is not liable for indirect, incidental, consequential, or punitive damages — lost profits, lost revenue, lost data, business interruption, reputational harm, or campaign-performance shortfalls. Our total cumulative liability for any claim arising from this agreement is capped at the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) one hundred euros. This cap does not limit liability for death or personal injury caused by negligence, for gross negligence or intentional misconduct, or for anything that cannot be limited under applicable consumer-protection law.
Indemnity
You agree to defend and indemnify Oppye against any third-party claim arising from your inputs (artwork, prompts, or logos you do not own), your outputs (campaigns that violate platform rules or applicable law), or your breach of these terms or the Acceptable Use Policy.
Governing law and disputes
These terms are governed by the law of Romania, without regard to conflict-of-law rules. Disputes that cannot be resolved directly will be brought before the competent courts of București, Romania. EU consumers keep the right to bring claims in the courts of their own country of residence and to use the EU Online Dispute Resolution platform (see the Imprint page for links).
